1.1

These Terms of Business form part of our agreement with you, together with:

• our Engagement Letter,
• any applicable Schedules of Services, and
• our Key Facts document.

1.2

If there is any conflict or inconsistency between the Engagement Letter and these Terms, the Engagement Letter shall prevail to the extent of that conflict.

1.3

References to the “Firm” mean the legal entity identified in the Key Facts document.

1.4

Order of contractual precedence (unless expressly agreed otherwise in writing):

1. Engagement Letter
2. Schedules of Services
3. Key Facts document
4. These Terms of Business

The effective date of these Terms is 24 July 2025.
